- In May 2026 it was announced that the Group has entered into a definitive agreement to be acquired by Bullish (NYSE: BLSH), a regulated digital asset exchange serving major financial institutions and listed on the New York Stock Exchange. This deal is expected to complete in January 2027.
Contingent liabilities (3)
- The Company, along with other companies in the Group, has provided a guarantee in relation to a Senior Facilities Agreement comprising term loans and a revolving credit facility made available to Earth Private Holdings Limited and Armor Holdco, Inc.
- At year end the facilities comprise term loans of US $1,500m, and a multicurrency revolving credit facility of US $235.0m, of which the drawn balance was nil at 31 December 2025 (2024 - £nil). The term loan facilities are repayable in 2031.
- All equity interests in the guarantors, along with any wholly-owned subsidiaries of the guarantor, have been pledged as a security for the Senior Facilities Agreement.
